About these terms
These terms apply to website design and development, search engine optimisation (SEO), digital marketing and related services provided by GIMSEO (“GIMSEO”, “we”, “us”) to you (“the client”). Your written quote or proposal forms part of our agreement and takes priority where it differs from these terms. By accepting a quote or paying an invoice, you agree to these terms.
Quotes and scope
Each project starts with a written quote or proposal describing the scope, deliverables, timeline and price. Quotes are valid for 30 days. Work outside the agreed scope is quoted separately and only started after you approve it.
Package prices on our website are starting prices for the scope listed and are confirmed in your quote.
Payments for website projects
One-time projects, such as website design and development, are paid in two parts: 50% before work starts and the remaining 50% before the website goes live or is handed over.
Payments for monthly services
Monthly services, such as SEO, social media management, advertising management and website maintenance, are billed monthly in advance. They have a minimum term of 6 months, after which they continue month to month until cancelled with 30 days’ written notice.
Advertising spend on platforms such as Google or Meta is paid by you directly to the platform and is not included in our management fees.
Invoices and late payment
Invoices are payable within 7 days unless your quote says otherwise. If an invoice is overdue, we may pause work until it is paid, and timelines will move accordingly.
Your responsibilities
You agree to provide accurate content, images, product information and account access when needed, and to give feedback and approvals within a reasonable time. Delays in receiving content or approvals may move the agreed timeline.
You confirm that you have the right to use any content, images, logos and trademarks you provide to us.
Third-party costs and accounts
Domains, hosting, platform subscriptions (such as Shopify or Wix), premium themes, plugins, apps, stock images, payment processing fees and advertising spend are not included in our fees unless your quote says so. These accounts should be opened in your name and paid directly by you.
SEO and advertising results
Search engines and advertising platforms control their own results and change them often. We do not guarantee specific rankings, traffic, leads, sales or return on advertising spend. We commit to carrying out the agreed work professionally and reporting on it honestly.
Ownership
Once you have paid in full, you own the final website, designs and content we create specifically for you. Third-party items such as themes, plugins, fonts and stock images remain subject to their own licences. Until full payment, all work remains our property. We may show completed work in our portfolio unless you ask us not to.
Support after launch
Each website project includes 60 days of support after launch to fix errors in the work we delivered. After that, updates and changes are provided under a maintenance plan or quoted separately. New features or design changes are not part of the free support period.
Confidentiality
We keep your business information, logins and data confidential and use them only to deliver our services. Our privacy policy explains how we handle personal information.
Cancellation
Website projects: either party may cancel a project by written notice. Work completed up to the cancellation date is charged at the agreed project rate. Any amount you have paid for work not yet started is refunded.
Monthly services: you may cancel with 30 days’ written notice once the 6-month minimum term has ended. If you cancel during the minimum term, the fees for the rest of the minimum term remain payable.
We may end services if invoices remain unpaid for more than 30 days or if these terms are seriously breached.
Limitation of liability
We are not liable for indirect or consequential losses, such as loss of profit, revenue, data or business opportunity, or for problems caused by third-party platforms, hosting providers, plugins or search engine changes. Our total liability for any claim is limited to the fees you paid us for the service concerned in the 3 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
Changes to these terms
We may update these terms from time to time. The version that applies to your project is the one in place when you accepted your quote.
Governing law
These terms are governed by the laws of Pakistan, and any disputes will be handled by the courts of Pakistan.
